These are the terms of our agreement together.
This Website Development Agreement (the “Agreement”) is entered into as of ___________, 20__
(the “Effective Date”) by and between______________________________________and Art
D’mensions Inc., (the “Developer”)
1. Authorization. The above named client is engaging Art D’mensions Inc., located at 1998 Route 22 East,
Scotch Plains NJ 07076, as an independent contractor for the specific project of developing and/or improving a
World Wide website to be installed on the client's web space on a web hosting service's computer. The client
hereby authorizes Art D’mensions Inc., to access this account, and authorizes the web hosting service which is
also an independent contractor to Art D’mensions Inc., with "write permission" for the client's webpage
directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project.
The client also authorizes Art D’mensions Inc., to publicize their completed website to the World Wide Web.
2. The company engaging Art D’mensions Inc represents to the developer and unconditionally guarantees that
any elements of text, graphics, photos, designs, trademarks, or other art work furnished to the developer for
inclusion in the website are owned by the company, or that the company has permission from the rightful
owner to use each of these elements, and will hold harmless, protect, indemnify, and defend the developer and
its subcontractors from any liability (including attorneys’ fees and court costs), including any claim or suit,
threatened or actual, arising from the use of such elements furnished by the company.
3. Web Marketing. Services sometimes referred to as SEO services are not included as part of the website
design service provided by Art D'mensions Inc.
4. Express websites / third pary templates : are predesigned webpage layout templates.
All text and graphics supplied by the client must comply with the layout template and format. Photos, images,
graphics, logos, symbols are added at an additional charge if the chosen layout template permits.
5. Standard Support: E-mail/phone consultation (Up to 2 hours total general Internet orientation and Web
design consultation. Telephone long distance charges are in addition to package rates quoted. Additional
education and consultation is at our hourly rate.)
Words of text supplied by the client (200 words per page approximate maximum if not supplied via diskette.
WebPages of more than 1,200 words of text may be subject to additional fees, especially if they require a great
deal of formatting.)
Links to external pages, up to an average of 2.5 per page.
6. Custom Graphics : Header graphic on first page (simple custom graphic incorporating company logo). Top-ofpage
graphic for all other pages in your website. Colorful lines and bullets, and colored and textured
background. Photos and other misc. graphic images supplied by the client. Additional images required are to
be selected by the client for an additional fee.
All changes subject to a back up and burn to cd fee. Minor changes will be billed at $65 per change. Lengthier
changes will be billed at an hourly rate. E-mail response link on website to e-mail address the client
designates. Additional Web Pages will be charged separately.
7. Maintenance and Hourly Rate. This agreement includes minor webpage changes and maintenance to
regular webpages , at a rate of $65.00 per change which includes updating links and making minor changes to
a sentence or paragraph. It does not include removing nearly all the text from a page and replacing it with new
text. If the client or an agent other than Art D’mensions Inc., attempts updating the client's pages, time to
repair webpages will be assessed at the hourly rate. This maintenance commences upon the date the client
signs this contract.!
8. Changes requested by the client beyond the limits of the predesigned layouts and templates we provide will
be billed at the hourly rate. This rate shall also govern additional work authorized beyond the predesigned
layouts and templates specified above for such services as general Internet orientation education, marketing
consulting, webpage design, editing, modifying pages, art, photo, graphics services.
Website Development Agreement
9. Changes to Submitted Text. Please send us or submit your final text before your website is uploaded to the
world wide web, your Web site will be completely backed up and a cd copy of the site will be burned. Time
required to make substantive changes to client-submitted text after the webpages have been constructed will
be additional, and billed at an hourly rate.
10. Web Hosting. The client understands that web hosting is a separate service and company from Art
D'mensions. The hosting service is billed separately from the website design service. The client agrees to pay a
monthly hosting fee. If payment for hosting services are not received on a timely basis, Art D'mensions
reserves the right to terminate hosting services and remove the website from the world wide web.
11. Completion Date. Art D'mensions Inc. will work with the client to complete the website in a timely manner.
Delays may occur in the process of testing a websites function on the world wide web. It is the responsibility of
the client to supply Art D'mensions with the necessary information (content, photos, email address and all
pertinent data ) to complete the website.
12. Payment of Fees. Fees to Art D’mensions Inc. are due and payable on the following schedule: 50% upon
signing this contract, 50% when the webpages have been constructed and prior to publishing the website on
the world wide web. If the total amount of this contract is less than $600, the total amount shall be paid upon
signing this contract. All payments will be made in US funds.
13. Assignment of Project. Art D’mensions Inc. reserves the right to assign subcontractors to this project to
insure the right fit for the job as well as on-time completion.
14. Legal. Art D’mensions Inc., does not warrant that the functions contained in these webpages or the
Internet website will meet the client's requirements or that the operation of the webpages will be
uninterrupted or error-free. The entire risk as to the quality, performance, purchase of domain names,
purchase of hosting service and related services of the Web site and webpages is the responsibility of the client.
In no event will Art D’mensions Inc., be liable to the client or any third party for any damages, including any
lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or
inability to operate these webpages or website, even Art D’mensions Inc., has been advised of the possibility of
such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then
that provision shall be deemed severable from this agreement and shall not affect the validity and
enforceability of any remaining provisions.
15. Copyrights and Trademarks. The client represents to Art D’mensions Inc., and unconditionally guarantees
that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Art D’mensions
Inc., for inclusion in webpages are owned by the client, or that the client has permission from the rightful
owner to use each of these elements, and will hold harmless, protect, and defend Art D’mensions Inc., and its
subcontractors from any claim or suit arising from the use of such elements furnished by the client.
16. Copyright to Webpages. Copyright to the finished assembled work of webpages produced by Art D’mensions
Inc., is owned by Art D’mensions Inc. Upon final payment of this contract, the client is assigned rights to use
as a website the design, graphics, and text contained in the finished assembled website. Rights to photos,
graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and
remain the property of their respective owners. Art D’mensions Inc., and its subcontractors retain the right to
display graphics and other Web design elements as examples of their work in their respective portfolios.
17. Website. A custom finished assembled website created by Art D'mensions remains the intellectual property
of Art D’mensions. Release of these files are limited. We can not warrant or guarantee website files released.
18. Payment of fees. In order for Art D'mensions Inc., to remain in business, payments must be made promptly.
Delinquent bills will be assessed interest and a reinstatement fee of $25 per page if payment is not received
within 10 days of the due date. Art D’mensions Inc., reserves the right to remove webpages from viewing on
the Internet until final payment is made. In case collection proves necessary, the client agrees to pay all fees
incurred by that process.
19. Sole Agreement. The agreement contained in this "Website Development Agreement" constitutes the sole
agreement between Art D’mensions Inc., and the client regarding this website. Any additional work not
specified in this contract must be authorized by a written change order. Continued services after that time will
require a new agreement.
The undersigned agrees to the terms of this agreement on behalf of his or her organization or business.
